General Terms and Conditions (GTC)

1. Scope and Provider

These General Terms and Conditions (hereinafter "GTC") apply to all orders, contracts, and deliveries between:

(hereinafter "Provider") and its customers. Deviating terms and conditions of the customer are not recognized unless the Provider expressly agrees to their validity in writing.

2. Subject of the Contract and Conclusion of Contract

  1. The Provider sells skincare products and high-tech cosmetic devices (e.g., for hydra-dermabrasion).

  2. The presentation of products on the website does not constitute a legally binding offer but an non-binding online catalog.

  3. By submitting an inquiry via the contact form, the customer expresses non-binding interest. A legally binding contract is only concluded through a written order confirmation (email) or by the delivery of the goods.

3. Prices and Payment Terms

  1. All prices are in Euro (€). For commercial customers (B2B), prices are generally shown as net prices plus the applicable statutory value-added tax.

  2. Shipping costs are calculated separately and stated in the offer.

  3. Unless otherwise agreed, payment is due within 7 days of invoicing without deduction.

4. Delivery and Transfer of Risk

  1. Delivery times are non-binding unless they have been expressly guaranteed as binding.

  2. B2B Clause: If the buyer is an entrepreneur (§ 14 German Civil Code), the risk of accidental loss and accidental deterioration of the goods transfers to the buyer as soon as the Provider has handed over the item to the forwarder or carrier.

5. Special Features for High-Tech Devices (Training)

  1. The Provider offers training for certain devices. The correct use of the devices requires adherence to the enclosed manuals and, if necessary, participation in training.

  2. The Provider is not liable for damages resulting from improper use or misuse of the devices.

6. Right of Withdrawal for Consumers

Consumers (§ 13 German Civil Code) have a statutory right of withdrawal. Exclusion: The right of withdrawal does not apply to contracts for the delivery of sealed goods which are not suitable for return for reasons of health protection or hygiene if their seal has been removed after delivery (e.g., opened skincare products).

7. Warranty and Liability

  1. The statutory warranty rights apply.

  2. For commercial customers (B2B), the warranty period for new goods is 12 months from delivery of the goods.

  3. The Provider is only liable without limitation for intent and gross negligence. For slight negligence, the Provider is only liable for the violation of a material contractual obligation (cardinal obligation).

8. Retention of Title

The goods remain the property of DemiDora (Amir Tagik) until full payment.

9. Final Provisions

  1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

  2. If the customer is a merchant, the place of jurisdiction for all disputes is Hanau (competent court for Maintal).

  3. Should individual provisions of these GTC be ineffective, the remainder of the contract remains valid.
